These Terms of Service govern your access to and use of RebelPSA, a platform operated by Rebel Software, LLC. By using the Service, you agree to these Terms.
1. Acceptance of Terms
By accessing or using the RebelPSA platform, website, or any related services (collectively, the "Service"), operated by Rebel Software, LLC ("Rebel Software," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity. If you do not agree to these Terms, do not access or use the Service. These Terms apply to all users, including visitors, registered users, and customers.
2. Description of Service
RebelPSA is a cloud-based professional services automation (PSA) platform designed for managed service providers (MSPs). The Service includes a help desk ticketing system, customer relationship management (CRM), sales pipeline tools, project management, asset tracking, billing automation, reporting, and integrations with third-party tools (collectively, the "Platform").
We reserve the right to modify, suspend, or discontinue the Service or any feature thereof at any time with reasonable prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. Accounts & Access
3.1 Registration
To access the Service, you must register for an account by providing accurate, current, and complete information. You agree to maintain and promptly update your account information. You may not use another person's account or allow others to use your account credentials.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at info@rebelpsa.com of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain account security.
3.3 User Seats
Your subscription grants access for the number of authorized users ("seats") specified in your order. Additional seats may be added at any time at the then-current per-seat rate and will be billed pro-rata for the remainder of the current billing cycle.
4. Subscriptions & Payment
4.1 Subscription Plans
The Service is provided on a subscription basis. Current pricing is available at www.rebelpsa.com/pricing. Introductory pricing is subject to change as stated on the pricing page and in your order confirmation.
4.2 Billing & Renewal
Subscriptions are billed in advance on a monthly or annual basis as elected at signup. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We will provide reasonable advance notice of any price changes, which will take effect at your next renewal.
4.3 Payment
You authorize us (or our payment processor) to charge your designated payment method for all fees due. All fees are in U.S. dollars and are non-refundable except as expressly stated in these Terms or required by applicable law. If payment fails, we may suspend your access to the Service after reasonable notice.
4.4 Taxes
Fees are exclusive of all applicable taxes, levies, or duties. You are responsible for paying all such taxes arising from your purchase and use of the Service, excluding taxes based on our net income.
4.5 Free Trials
We may offer a free trial period at our discretion. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial expires.
5. Customer Data
5.1 Ownership
You retain all right, title, and interest in and to the data, information, and content you submit to the Service ("Customer Data"). We acquire no ownership rights in Customer Data.
5.2 License to Rebel Software
You grant us a limited, non-exclusive, worldwide license to access, store, copy, and process Customer Data solely as necessary to provide, maintain, and improve the Service and as directed by you. We will not use Customer Data for any other purpose.
5.3 Data Processing
To the extent Customer Data includes personal data subject to applicable data protection laws, we act as a data processor on your behalf and you act as the data controller. Our data processing practices are described in our Privacy Policy.
5.4 Data Portability & Deletion
Upon request, we will provide you with an export of your Customer Data in a standard machine-readable format within 30 days. Following account termination, we will delete Customer Data within 90 days unless a longer retention period is required by law.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable federal, state, local, or international law or regulation.
- Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Interfere with, disrupt, or compromise the integrity or security of the Service or servers/networks connected to it.
- Attempt to gain unauthorized access to any portion of the Service or any related systems.
- Engage in scraping, data mining, or use automated means to access or collect data from the Service without our express written consent.
- Use the Service to store or transmit malicious code, viruses, or any software that may damage or interfere with the Service.
- Sublicense, resell, or otherwise commercially exploit the Service except as expressly permitted.
- Reverse engineer, decompile, or disassemble the Service.
We reserve the right to terminate or suspend access to the Service for any violation of this Section without prior notice.
7. Intellectual Property
7.1 Our Intellectual Property
The Service and all its components, including software, code, text, graphics, logos, trademarks, and other content (excluding Customer Data) are owned by or licensed to Rebel Software and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes in accordance with these Terms.
7.2 Feedback
If you provide us with suggestions, ideas, or other feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate that Feedback into the Service without obligation or compensation to you.
8. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). Neither party will disclose the other's Confidential Information to third parties or use it for any purpose other than performing its obligations under these Terms, except as required by law. This obligation does not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) was rightfully known before disclosure; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law, provided the receiving party gives prompt written notice to the disclosing party where permitted.
9. Warranties & Disclaimers
9.1 Our Warranty
We warrant that: (a) the Service will perform materially in accordance with our documentation under normal use; and (b) we will implement commercially reasonable technical and organizational measures to secure the Service and Customer Data.
9.2 Disclaimer
Except as expressly stated in Section 9.1, the Service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind. To the fullest extent permitted by law, Rebel Software disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Rebel Software, its officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including but not limited to loss of profits, data, goodwill, or business interruption — arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages. In no event shall our total aggregate liability for all claims arising out of or related to these Terms or the Service exceed the greater of: (a) the amounts paid by you to Rebel Software in the twelve (12) months preceding the claim; or (b) one hundred U.S. dollars ($100). The limitations in this section apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and will survive even if any limited remedy fails of its essential purpose.
11. Indemnification
You agree to indemnify, defend, and hold harmless Rebel Software and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Service in violation of these Terms; (b) your Customer Data, including any claim that it infringes the intellectual property or privacy rights of any third party; (c) your violation of any applicable law or regulation; or (d) your gross negligence or willful misconduct. We reserve the right to assume exclusive control of the defense of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.
12. Term & Termination
12.1 Term
These Terms are effective from the date you first access the Service and remain in effect until your subscription is terminated.
12.2 Termination by You
You may cancel your subscription at any time through your account settings or by contacting us at info@rebelpsa.com. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods unless required by law.
12.3 Termination by Rebel Software
We may suspend or terminate your access to the Service immediately if: (a) you materially breach these Terms and fail to cure such breach within 15 days of written notice; (b) you fail to pay fees when due; (c) you become subject to bankruptcy, insolvency, or similar proceedings; or (d) we are required to do so by law.
12.4 Effect of Termination
Upon termination, your right to access and use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 5, 7, 8, 9, 10, 11, 13, and 14) will survive.
13. Governing Law & Disputes
These Terms are governed by the laws of the State of Utah, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall first be submitted to informal resolution by contacting us at info@rebelpsa.com. If the dispute is not resolved within 60 days, it shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the arbitration conducted in Utah. Judgment on the award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
14. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and Rebel Software regarding the Service and supersede all prior agreements.
- Amendment: We may update these Terms from time to time. We will notify you at least 30 days before material changes take effect via email or in-app notification. Continued use after the effective date constitutes acceptance.
- Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
- Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force.
- Assignment: You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, acts of government, or internet outages.
- Notices: Legal notices to Rebel Software must be sent to info@rebelpsa.com. We may send notices to the email address associated with your account.
